Road and Access Law: Successfully Handling Disputes

This seminar, organized by the National Business Institute, focuses on addressing and resolving disputes over road and access rights that inevitably arise in the context of development, use and conveyance of real estate. Three lawyers from Winston & Cashatt are on the faculty for this seminar.
Elizabeth A. Mosey will discuss the “Ins and Outs of Private Road Creation and Use.” Her presentation will include an in-depth discussion of the types of easements, creating and maintaining easements, the law related to private roads, and resolving access disputes in subdivisions, among other related topics.
Brian T. McGinn will discuss “Road and Access Pitfalls When Handling Real Estate Transactions.” His presentation includes a discussion of what can be learned from title insurance, the examination of title documents as related to access, and resolving access problems that arise in the context of a real estate transaction.
Ryan D. Yahne will discuss “Trial Preparation and Litigation of the Road and Access Easement Case. His presentation will focus on methods to investigate the case, the use of documents and expert witnesses, the use of declaratory judgments to obtain summary resolution, and the trial of a road and access case.

Advanced LLC Issues

This seminar, organized by the National Business Institute, focuses on providing clients with answers to sophisticated LLC questions. Moreover, this seminar examines (i) how legislative updates and current trends impact advice to clients; (ii) how to deal with self-employment tax planning and member retirement issues; (iii) reviews current securities law to ensure client compliance; and (iv) discusses ethical practice standards. Three lawyers from Winston & Cashatt are on the faculty for this seminar.
Christopher S. Crago will discuss “Advanced Tax Issues for LLCs.” His presentation includes a discussion of the check-the-box regulations, self-employment tax planning, compensation planning, taxation on the sale of an LLC interest that includes “hot assets’, death of a member, transfer of appreciated property, and using elections to make optional basis adjustments.
Jeffrey A. Herbster will discuss “Mastering Estate Planning Issues.” His presentation will include estate planning strategies with LLCs, asset protection through the use of LLCs, family limited partnerships, recent case law in connection with valuation and other issues, and design and implementation considerations and consequences.
Eowen S. Rosentrater will discuss “Understanding the World of Minority Rights and Fiduciary Obligations.” Her presentation will focus on the source and nature of fiduciary obligations, identifying and protecting the rights of minority interest holders, restrictions on fiduciary obligations, and securities law considerations.
